1. Agreement to Terms

These Terms and Conditions ("Terms") govern access to and use of the Agrovio platform, including our website, progressive web application, marketplace features, messaging tools, logistics coordination tools, and related services (collectively, the "Services"). By creating an account, browsing listings, placing orders, negotiating with other users, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Platform Role — Marketplace Intermediary Only

Agrovio operates solely as a digital marketplace and technology intermediary. Agrovio facilitates introductions, listings, order requests, messaging, and optional logistics coordination between independent buyers, farmers, sellers, and logistics providers. Agrovio is not a party to any transaction between users, is not a seller of agricultural goods, is not a buyer, is not a carrier, and is not a payment institution unless explicitly stated in writing.

3. User Accounts and Eligibility

  • You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to create an account or transact on Agrovio.
  • You must provide accurate registration information and maintain the security of your credentials.
  • You are responsible for all activity conducted under your account.
  • You must comply with applicable laws in your jurisdiction regarding agricultural trade, livestock movement, export/import, and consumer protection.
  • Agrovio may suspend or terminate accounts that violate these Terms or pose a security or legal risk.

4. Marketplace Transactions

Orders placed through Agrovio constitute requests or agreements between users. Pricing, quantity, quality, delivery timing, payment method, and fulfillment are negotiated and performed directly between the relevant parties unless Agrovio expressly offers a separate paid service.

Agrovio does not guarantee that any listing is accurate, available, lawful to trade, or suitable for your purpose. Users must perform their own due diligence before purchasing, selling, transporting, or consuming agricultural or livestock products.

5. Payments

Unless Agrovio implements and clearly discloses an integrated payment service, payments are arranged directly between users (cash, mobile money, bank transfer, or other methods as agreed). Agrovio:

  • does not hold buyer funds as escrow unless explicitly stated;
  • does not guarantee payment completion, refunds, or chargebacks;
  • is not responsible for payment disputes, fraud, or failed transfers between users.

5A. Fees, Premium Features and Billing

Core marketplace access may be offered free of charge. Certain roles or features (including premium seller roles) may require payment of fees, which will be disclosed to you before you subscribe or purchase.

  • Play Store purchases: where you purchase digital features through the Agrovio Android app distributed via Google Play, payment is processed through Google Play's billing system and is subject to Google's terms.
  • Billing cycle: subscriptions renew for the stated period unless cancelled before renewal. You are responsible for managing renewals through the relevant app store or account settings.
  • Refunds: except where required by applicable law or the relevant app store's policy, fees are non-refundable once the paid feature has been made available to you.
  • Changes: we may change fees on reasonable prior notice; changes do not affect the current paid period.

6. Logistics and Delivery (All Users)

Where logistics features are offered, Agrovio provides coordination and visibility tools only(including maps, status updates, and messaging). Independent drivers or logistics providers perform physical transport. Agrovio does not guarantee pickup times, delivery times, route safety, vehicle condition, or successful delivery.

GPS, ETA, and distance estimates are informational approximations and may be inaccurate. Users must not rely on them as the sole basis for safety-critical decisions.

6A. Logistics Provider Additional Terms

If you register or operate as a logistics provider / driver on Agrovio, you additionally agree that:

  • you are solely responsible for vehicle condition, licensing, insurance, and compliance with transport laws;
  • you will conduct deliveries professionally and safely, including handling of agricultural and livestock cargo;
  • route, GPS, and ETA information is approximate and not a guarantee of timing or safety;
  • you assume risk for cargo in your possession, including spoilage, injury, mortality, or regulatory violations;
  • Agrovio does not employ you and is not liable for accidents, fines, or third-party claims arising from your transport activities.

7. Agricultural and Livestock Risk Disclaimer

Agricultural produce and livestock involve inherent risks including spoilage, disease, mortality, regulatory restrictions, seasonal variation, and cross-border compliance requirements. Agrovio is not responsible for product quality, freshness, weight, grading, certification, veterinary status, permits, customs clearance, or losses arising from handling, storage, or transport of goods.

8. Prohibited Activities

You agree not to:

  • list illegal, stolen, or misrepresented goods;
  • circumvent Agrovio fees or security controls;
  • harass, defraud, or impersonate other users;
  • upload malware or scrape the Services without permission;
  • use the Services for money laundering or sanctions evasion;
  • share another user's private data without consent.

9. Verification Limitations

Badges, ratings, or verification indicators (if shown) reflect information available to Agrovio at a point in time and do not constitute a warranty of identity, quality, reliability, or legal compliance.

9A. Identity and Document Verification

Certain features and trust badges require identity or business verification. By submitting documents for verification, you consent to their processing for verification purposes, including secure processing by an automated third-party AI verification service located outside Zimbabwe, as described in our Privacy Policy. Verification is provided on a best-effort basis and does not constitute a warranty (see Section 9).

9B. Fraud, Investigation, and Enforcement

Fraud, misrepresentation, fake or misleading listings, and identity fraud are prohibited. By using Agrovio, you acknowledge that where fraud or a policy violation is reported or reasonably suspected, Agrovio may investigate, which can include accessing relevant account data, verification documents, messages, and transaction records as described in our Privacy Policy. Such access is limited to what is necessary, requires authorization, and is logged.

Following an investigation, Agrovio may suspend or terminate accounts, remove listings, revoke trust badges, and report matters to law enforcement or regulators where appropriate.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Agrovio, its affiliates, officers, directors, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, crops, livestock, or business opportunity arising from or related to:

  • failed, delayed, or disputed transactions;
  • damaged, defective, or misdescribed goods;
  • delivery failures, accidents, or transport issues;
  • fraud or misconduct by other users;
  • platform downtime, bugs, or inaccurate information;
  • reliance on estimates, maps, or third-party services.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

Subject to the paragraph above, and to the fullest extent permitted by applicable law, Agrovio's aggregate liability for claims arising out of the Services shall not exceed one hundred United States dollars (USD $100).

11. Indemnification

You agree to indemnify and hold harmless Agrovio from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your listings, your orders, your transport activities, or your violation of these Terms or applicable law.

12. Dispute Resolution Between Users

Disputes between buyers, farmers, and logistics providers should be resolved directly between the parties. Agrovio may, at its discretion, provide limited support or mediation tools but has no obligation to resolve user disputes or issue refunds.

13. Third-Party Services

The Services may integrate third-party maps, hosting, analytics, or authentication providers. Those services are subject to their own terms. Agrovio is not responsible for third-party outages or practices.

14. Modifications

We may update these Terms from time to time. Material changes will be reflected by updating the version identifier and last updated date. Continued use after changes constitutes acceptance of the revised Terms where permitted by law.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Zimbabwe, without regard to conflict-of-law principles. The courts of Zimbabwe shall have jurisdiction over disputes arising out of or relating to these Terms, except where mandatory consumer-protection laws in your country of residence grant you the right to bring proceedings, or require the application of local law, in your own jurisdiction.
